These Terms and Conditions (“Terms”) govern your use of the services provided by Vine Fitness, LLC, doing business as Vine Fitness (“we,” “us,” or “our”). These Terms apply when you access or use our website, mobile application, physical gym location, or any related services (collectively, the “Services”).

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services.

1. Use of Our Services

You may use our Services only for lawful purposes and in accordance with these Terms. You agree to comply with all applicable local, state, and federal laws when using our Services.

We reserve the right to modify, suspend, or discontinue any part of the Services at any time without notice.

2. Membership and Account Registration

To access certain features of our Services, including membership management and class bookings, you must create and maintain an active membership account.

You agree to provide accurate, current, and complete information, including your name, email address, phone number, billing information, and physical address.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Vine Fitness is not responsible for unauthorized access resulting from your failure to safeguard your login information.

3. Mobile Application and Club Automation

Vine Fitness provides a mobile application powered by Club Automation, a third-party gym management platform. The mobile application allows members to manage memberships, book classes, view schedules, and access account information.

Your use of the mobile application is also subject to Club Automation’s own terms and conditions and privacy policy. Vine Fitness does not control Club Automation’s platform and is not responsible for its availability, performance, or data handling practices.

In the event of any conflict between these Terms and Club Automation’s terms, Club Automation’s terms govern your use of the mobile application.

4. Payments and Billing

All payments for memberships, classes, merchandise, and services are processed through third-party gym management and payment processing providers, including Club Automation.

Vine Fitness does not directly store complete payment card information. By providing payment details, you authorize recurring charges in accordance with your membership agreement.

Billing disputes or payment processing issues may require coordination with third-party providers.

5. Acceptable Use

You agree not to engage in any activity that interferes with or disrupts the Services.

  • Use the Services for any unlawful, fraudulent, or unauthorized purpose.
  • Attempt to interfere with the security or proper functioning of the Services.
  • Use automated systems or scraping tools without prior written permission.
  • Share account credentials or allow unauthorized access to your membership.

6. Intellectual Property

All content available through the Services, including text, logos, graphics, images, videos, and branding, is owned by or licensed to Vine Fitness and is protected by applicable intellectual property laws.

Third-party software and platforms, including Club Automation, remain the property of their respective owners and are governed by their own licensing terms.

7. Third-Party Services

Our Services may integrate with or link to third-party services. Vine Fitness does not control and is not responsible for the content, availability, or practices of third-party platforms.

Your use of third-party services is at your own risk and subject to their respective terms and conditions.

8. Limitation of Liability

To the maximum extent permitted by law, Vine Fitness shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from or related to your use of the Services.

This includes, but is not limited to, service interruptions, mobile application downtime, data loss, billing errors caused by third-party processors, or inability to access membership features.

9. Indemnification

You agree to indemnify, defend, and hold harmless Vine Fitness, its owners, employees, affiliates, and partners from any claims, damages, losses, liabilities, or expenses arising out of your use of the Services or violation of these Terms.

10. Termination

Vine Fitness reserves the right to suspend or terminate your membership or access to the Services at any time, with or without notice, for violation of these Terms or conduct deemed harmful to the business, staff, or members.

Termination does not relieve you of any outstanding payment obligations.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Ohio, without regard to conflict of law principles.

12. Changes to These Terms

We may update these Terms from time to time. Any changes will be effective when posted, as indicated by the updated “Last updated” date. Continued use of the Services constitutes acceptance of the revised Terms.
